Nine stages sit between your first enquiry and your Emirates ID. The licence is two of them.
That gap is where IFZA company setup goes wrong for people. The licence really can be issued in two working days. The company that can invoice, sponsor a visa and open a bank account takes weeks longer, and almost none of that waiting is IFZA’s doing. This page walks each stage in the order we file it, names who acts at every step, and tells you where files stall.

How does IFZA company setup work?
IFZA company setup runs in nine stages. You fix your activity codes, clear a trade name and send a document pack. Every owner is then screened on the IFZA portal. IFZA approves the file and invoices you. You pay, sign the digital constitution, and the licence is issued. The establishment card, visa and Emirates ID follow it.

The nine stages, and who acts at each one
Here is what actually happens inside each stage, and the part of it you control.

1. Activity mapping decides everything after it
Your activity codes come first. They set which trade names will clear, whether an outside regulator has to approve you, and in some cases what the licence costs. We flag a regulated activity here rather than at submission, because that is the difference between a note in the file and a three-week surprise. Your codes should describe what you will invoice for, not what sounds impressive. 2. Trade name and activity pre-check
Name options go onto the application alongside the activities. Both are cleared at the start of processing, before approval. Submit three ranked options rather than one. Clearance usually comes back the same working day or the next.
3. The document pack
This is the stage you control completely, and the one that decides your timeline. The pack includes the application form with UBO details. A pack with a mismatched name or a nearly expired passport comes back, and a returned file costs days.
4. Portal processing and screening
Every owner goes on the IFZA portal and is screened. So are the directors and the manager. This is the zone’s own check, and no consultant speeds it up.
5. Approval and the e-legal forms
IFZA approves the file and sends out the e-legal forms. Every owner signs, not just the founder who made the enquiry. Two owners in two time zones turn a same-day step into a two-day one. The shareholder rules behind this sit on our IFZA shareholding rules page.
6. Payment
IFZA invoices after it has approved your name, your activities and your shareholders. Nobody pays the authority for a file that failed screening. The licence cannot be issued until IFZA confirms the payment has landed, so an international wire adds a day or two here.
7. The digital MOA and AOA
The memorandum and articles go out as signing links. Every owner signs. No notary, no embassy, no appointment.
8. Licence issue
You receive the trade licence, the certificate of incorporation, the MOA and AOA and the share certificate, all as soft copies by email. That is the company legally formed. It cannot yet sponsor a visa.
9. After the licence
The establishment card opens your immigration file. Then the visa: entry permit or in-country status change, medical fitness test, biometrics and stamping. Then the Emirates ID card itself.
How long does IFZA company setup take?
Two working days to the licence, on a clean solo file with a complete pack. About four to six weeks to a company that can invoice, sponsor its owner and open an account. From abroad, five to seven.

The stage that sets the pace is the visa. It is the first one that waits on your travel, your medical booking and a biometrics slot. Everything before it moves at the speed of a document. Everything after it moves at the speed of a person.
So plan backwards from the visa, not from the licence. Founders who fly in before the establishment card is ready spend that week in a hotel.
When your money moves, and what it is holding
You pay IFZA after approval, not when you apply. That order matters more than most quotes admit. The zone’s fee is only at risk once your name, your codes and your owners have cleared.
A refused name is not a refused file. Nor is a refused code. We put in the next name on your list, or a code that fits, and the file moves on.
Once IFZA’s invoice is paid, that money is spent. Fees for the establishment card and each visa are charged as you file them. So budget the whole year before stage 6, not after it. The line by line picture is on our IFZA licence cost page.
Filing it yourself, or through a partner
IFZA issues the licence either way, direct or through a consultancy. So the licence is not the difference. Who runs the process is, and who catches the costly mistakes.
File direct and you carry all of it. The activity codes. The UBO form and the uploads. The e-legal forms. Chasing the MOA signatures. The payment. After the licence you also arrange the establishment card and the visa. Then the medical and biometrics slots, the bank file and the tax sign-up.
The risk is not that the licence gets refused. It is that a licence gets issued that does not fit the business.
Activity codes. A code can look right on the licence and still miss what the business does. Banks pick that up at their own review. Fixing it later means a change to the licence and a fee.
Company owners. Where an owner is a company, its papers must be attested before you file. If they are not, the file is held up, sent back, or refused.
After the licence. No establishment card means no visa at all. And someone has to run each step that follows.

The documents that clear first time
IFZA’s published list is the minimum. This is the pack that clears without a query.
- Every owner: a passport valid for at least six months, a digital photo, and the form with UBO details.
- Non-residents: proof of home address dated within three months, such as a bank statement or a utility bill.
- UAE residents: Emirates ID and visa copy.
- Some activities need a short CV showing you can do the work.
- A one-page business outline. IFZA calls it optional. We include it on anything beyond a plain trading or services licence, because it heads off the question of what the company actually does.
- Source of funds: only if compliance asks, usually on high-value trading or holding structures. We keep a recent bank reference ready so the request does not cost a week.
An owner that is a company adds real time. Those papers are signed off at home, then run through the UAE attestationchain. Add legal translation if they are not in English or Arabic. Start it the day you decide, not the day you file.

Does an employed UAE resident need an NOC?
Not from IFZA. It does not ask a private-sector employee for an employer NOC to hold shares. Two things still bite.
Your employment contract is between you and your employer, and IFZA will not read its non-compete clause for you. And you can hold one residence visa at a time. To take your own company’s visa, your employment visa has to be cancelled first, which makes your resignation date your visa date. Plenty of founders keep the job, hold the licence, and take the visa later.

How much can you do from abroad?
You can set the company up from home. The e-legal forms and the MOA arrive as signing links, one per owner. A private owner needs no notary, no embassy visit and no UAE Pass account.
Paperwork abroad comes up in two cases only. The first is an owner that is a company, whose papers must be attested. That takes two to four weeks. The second is someone signing for an owner, which needs a power of attorney, signed at home and legalised for use here. We steer people away from that one. Signing the link yourself is faster.
Four things need you in Dubai, all of them after the licence:
- Entry on the permit, or a status change if you are already here.
- The medical test.
- Emirates ID biometrics.
- One bank meeting with the signatory, in branch or on the bank’s own video call.
Stay remote until the entry permit issues, then make one trip of about five to ten working days. That is the whole visit, and it is the only one the setup needs.
Why IFZA queries a file
Most queries are ordinary, and most are avoidable. In the order we see them:
- Document mismatch. A name spelt one way on the passport and another on the form. A passport with under six months left. A photo that fails the check. This is the most common cause, and the easiest to prevent.
- Activity. The code does not match how the business is described, or it needs an outside sign-off nobody planned for.
- Name. Words that sound bank-like or regulated.
- UBO. A chain of owners that does not end at a named person.
- Screening and source of funds. IFZA screens every owner, every director and the manager. Nationality, sector and the way money moves all feed into it.
One example from our files. An FZCO with two owners, trading used ships. Ship sales draw close sanctions checks. The first file carried only passports and a one-line description. IFZA came back with two questions. Who were the buyers and sellers, and where did the money come from?
So we rebuilt the pack. A bank reference letter for each owner. Two redacted sale contracts from their old company. A list of target markets. And a signed note on sanctioned buyers. It cleared on the second try, about a week later than a clean file.
In a closely screened sector, send the explanation with the first submission. The answer is the same either way. Only the timing changes.
Trade names: three options, and the rule behind the refusals
We submit three ranked options on the first application. Clearance usually lands the same working day or the next.
Refused most often:
- Words that point to a regulated trade, or a scale the licence does not support: bank, insurance, capital, investment, holding, group. They clear only when the matching code is on the licence. An “Investments” name passes with a holding code and gets queried on a plain trading licence.
- Names the same as, or close to, one already on the register.
- Brand names, country and city names, and religious terms.
- Initials that stand for nothing, and web-style names ending in “.com”.
So the rule is not a banned word list. The word has to match the activity. The wider UAE naming rules are covered in our guide to trade name registration in Dubai.
FZCO is mandatory and goes at the end, as “Name FZCO” or “Name - FZCO”. Every IFZA company is a free zone company in that form. A name reservation also expires, so if the licence is not issued inside the reservation window, the name lapses and has to be cleared again.
Your visa count decides your desk
This choice is made at the package stage, before the application, and it is the one founders most often get wrong.
A standard flexi desk covers up to three visa allocations. From the fourth, IFZA requires office space. Visa allocations sit inside the licence price, so the decision is priced before you pay, not after.

The first 90 days after your licence
The licence is a start date. Several things that follow it carry deadlines.
Week 1: the establishment card, two to five working days. No visa work begins without it.
Weeks 1 to 2: corporate tax registration. We register at formation on every file. Under FTA Decision No. 3 of 2024, a resident company incorporated on or after 1 March 2024 must apply to register within three months of incorporation. The late registration penalty is AED 10,000 under Cabinet Decision No. 75 of 2023, as amended by Cabinet Decision No. 10 of 2024. The Federal Tax Authority’s waiver cancels that penalty where the first return is filed within seven months of the end of the first tax period. Treat it as a safety net, not a plan. Whether you then qualify for the 0 percent Qualifying Free Zone Person rate depends on your income and your substance in the zone, so take advice before your first filing. Weeks 1 to 4: the visa. Entry permit or status change, medical, biometrics, stamping. The whole visa and immigration chain runs off the establishment card.
Weeks 3 to 5: the Emirates ID card.
Weeks 4 to 9: the bank account. Resident signatories apply once the visa is stamped. Non-resident applicants can apply on the licence. Preparing a business bank account in Dubai is its own piece of work, and approval always rests with the bank.
Three things then run in the background.
Check VAT every month. You must sign up once sales pass AED 375,000 over the past 12 months, or are set to within the next 30 days. You then have 30 days to apply, and AED 10,000 is the penalty for going late. You can also sign up early, from AED 187,500.
Your first hire gets their visa under the company. ILOE is the staff member’s own cover and owners are exempt, but put it on the joining list.
And tell IFZA whenever shares change hands, so the UBO record stays right. Keep books from day one too, because your renewal needs a financial statement.
One IFZA setup, day by day
A solo founder abroad, a plastic packaging resale FZCO selling bags and containers to retail outlets, flexi desk, one visa. A 2025 file, counted in calendar days.

Two things slowed it, and neither was IFZA. The wire took two days, and two weeks passed between the entry permit issuing and the flight. IFZA’s own stages took four days in total.

Nothing about IFZA company setup is difficult. It is just ordered, and the order is unforgiving of a file that is half ready. Codes before names. Documents before screening. Approval before payment. The establishment card before any visa. Respect that and the licence is a two day formality. Ignore it and you lose weeks to a passport photo.
