Specimen Signature
Definition
Sample signature of each director or authorized signatory captured during incorporation. Filed with the offshore registrar and used by banks to verify documents thereafter.
Also known as
- authorized signature sample
- bank signature specimen
- signatory specimen
- signature card specimen
What it is
A Specimen Signature is the standardised sample signature of each director and authorised signatory of an entity, filed at incorporation and used by banks, notaries, and authorities to verify the authenticity of subsequently-signed documents. UAE banks require specimen signatures on the corporate-account mandate and validate every wire-transfer or contract signature against them. Offshore registries (RAK ICC, JAFZA Offshore) capture specimens at incorporation and update them on signatory changes.
Key characteristics
- Captured
- At incorporation + on every signatory change
- Filed with
- Bank, registrar, free-zone authority, notary
- Format
- Standardised signature card or notarised sample
How it works
During incorporation or bank account opening, each authorized signatory provides a signature in the presence of a bank officer, notary, or free zone representative. This sample is scanned or stored physically. Thereafter, any document bearing that signature—cheques, MOU submissions, visa applications, or trade license amendments—is checked against the specimen. Discrepancies trigger rejection or a request for fresh authorization. When a signatory leaves or authority is revoked, the company submits a formal update with a new specimen for the replacement.
Types of Specimen Signature
| Type | Description | When it applies |
|---|---|---|
| Individual Specimen | Personal signature of a single authorized signatory, used for standard banking and corporate filings. | For sole proprietors, single-owner LLCs, or designated individual signatories. |
| Joint Specimen | Multiple signatures required together, often with a specimen for each joint signatory. | When board resolution mandates dual signatories for cheques above a threshold or sensitive transactions. |
| Electronic Specimen | Digitally captured signature used on government portals such as ICA Smart Services or banking apps. | For online trade license renewals, ICA visa applications, and digital-first banks. |
Why it matters
Mismatched specimen signatures freeze bank transfers and trigger fraud reviews. Keeping the bank-held specimen current — especially after passport renewal — avoids stuck payments.
Common misconceptions
Misconception
A specimen signature grants legal authority to act on behalf of the company.
Reality
Authority derives from the commercial license, board resolution, or power of attorney; the specimen only verifies that a signature is genuine.
Misconception
Once filed, a specimen signature never needs updating.
Reality
UAE banks and free zones require updated specimens whenever signatories change or upon periodic review.
Misconception
A specimen signature is the same as a notarized power of attorney.
Reality
A power of attorney delegates authority; a specimen signature is merely a reference sample for comparison.
FAQs
- Why does the UAE bank ask for a specimen signature?
- Banks compare every wire transfer, cheque, and signed instruction against the specimen on file to detect forgery. Mismatches trigger holds and fraud-review escalations. Update the specimen card whenever signatures evolve (passport renewal, signature style change).
